Corporate & Commercial Retainers
Ongoing counsel for companies that prefer their lawyer on call: board advisory, commercial contracts, compliance calendars and dispute-avoidance under a fixed monthly retainer.
Most commercial disputes are lost long before they reach a courtroom — in a contract clause nobody read closely, a compliance deadline nobody tracked, or a board decision nobody documented. A retainer relationship exists to close that gap: the chambers is already briefed on your business, so advice arrives in hours, not weeks.
What a retainer covers
- Board and promoter advisory — resolutions, minutes, related-party decisions and governance discipline.
- Commercial contracts — drafting, review and negotiation of supply, services, distribution, franchise and shareholder arrangements.
- Regulatory compliance calendars — Companies Act filings, FEMA reporting, and sector-specific obligations tracked before they fall due.
- Employment and HR documentation — appointment letters, policies, exits and misconduct proceedings.
- Pre-litigation strategy — legal notices, replies, and dispute-avoidance opinions before positions harden.
- Transaction support — term sheets, due-diligence coordination and closing documentation for mid-size deals.
How engagements are structured
Each retainer is a written, fixed-fee monthly engagement with a defined scope, a named point of contact, and response-time commitments. Work outside the scope is estimated and approved before it begins, so there are no surprise invoices. The engagement is reviewed quarterly and may be scaled up, narrowed, or ended with notice.
Who it suits
Promoter-led companies, funded startups, family businesses formalising their governance, and NRI-owned Indian entities that need standing counsel in the country without maintaining an in-house legal team.
Fee transparency
The retainer fee is fixed in writing before the engagement begins and covers the agreed scope for the month. Litigation, if it becomes necessary, is scoped and quoted separately. To discuss a retainer for your company, use the consultation form and select the advisory option.
